The Board of Directors of the Kazyna Capital Management Joint-Stock Company decided to elect the Chairman of the Board of Directors of the Kazyna Capital Management Joint-Stock Company Mukhamedzhanov Adil Bektasovich with a term of office until the expiration of the term of office of the Board of Directors of the Kazyna Capital Management Joint-Stock Company as a whole.

The Board of JSC "National Managing Holding "Baiterek" decided to elect the Chairman of the Board of the joint-stock company "Kazyna Capital Management" from May 4, 2022 Kuatova Ainur Sainovna with a term of office until the expiration of the term of office of the Board of the joint-stock company "Kazyna Capital Management" as a whole.

The Board of Directors of the Kazyna Capital Management Joint-Stock Company decided to determine the quantitative composition, term of office, election of members of the Management Board of the Kazyna Capital Management Joint-stock Company, with the exception of the Chairman of the Management Board of the Kazyna Capital Management Joint-Stock Company.

On April 20, 2022, a regular strategic session was held with the participation of independent directors of Kazyna Capital Management Joint Stock Company with the management of its subsidiaries.

The Management Board of JSC "National Managing Holding "Baiterek" decided to determine the quantitative composition, the term of office of the Board of Directors of the joint-stock company "Kazyna Capital Management", the election of members of the Board of Directors of the joint-stock company "Kazyna Capital Management" and determining the amount of remuneration to independent directors of the joint-stock company "Kazyna Capital Management".

The Management Board of JSC "National Managing Holding "Baiterek" decided to approve the Unified Personnel Policy of the joint-stock company "National Managing Holding "Baiterek" and legal entities, more than fifty percent of the voting shares (participation interests) of which are directly owned by the joint-stock company "National Managing Holding "Baiterek" on the right of ownership or trust management for 2022-2024.

The Board of JSC "National Managing Holding "Baiterek" decided to reorganize the joint-stock company "Kazyna Capital Management" by joining the joint-stock companies "Kazakhstan Project Preparation Fund", "QazTech Ventures".

The Board of JSC "National Managing Holding "Baiterek" made a decision on the mandatory approval of proposals/initiatives in the state projects being developed (national projects, road maps) and draft laws and referrals to the relevant state bodies.

The Board of Directors of the Kazyna Capital Management Joint–Stock Company decided to terminate the powers of a member of the Management Board of the Kazyna Capital Management Joint-Stock Company, Yerlan Kabdrakhmanov, from February 1, 2022 (the last working day is January 31, 2022).

The Board of the National Managing Holding Baiterek JSC decided to approve and submit for consideration by the Board of Directors of the National Managing Holding Baiterek Joint Stock Company a report on the implementation of the Action Plan for Improving Corporate Governance of the National Managing Holding Baiterek Joint Stock Company for 2021-2022 as of December 31, 2021.
